Our two favorite sentences in a contract
Found out what these are and why we love them…
Sentence #1 : “Seller represents that there are no open or expired permits or code violations as it relates to the Property. Any open or expired permits, or code violations, shall be fully satisfied by Seller, at Seller’s cost, prior to Closing.”
Why? This ensures that no matter what the inspection period , seller is obligated to resolve before closing.
Sentence #2: “Seller will convey marketable and insurable title at closing. “
Why? This ensure that no matter what the title evidence deadlines are in the contract, seller must convey clear title at closing.
Dropping these two lines into the additional terms page ensures seller understands from the onset of the contract their obligations.
